You don't actually have to be holding a gun to be considered a combatant.  Enemy commanders are also fair game.  If was  uniformed officer fighting for a recognized state internatinoal law might protect him.  He's not.  He's a rogue terrorist randomly attacking civilians.  Therefore, the US has the right to take him out and no international laws protect him.  If he wants to commit terrorist acts outside of the rules, he should be prepared for the consequences.

The only issue is the sovereignty one with Yemen.  Once again (as in the Pakistan/Bin Laden incident), Yemen has to enforce the laws for anything to come of them.  Yemen probably was invovled in some aspect in this assassination.
